1. License Grant and Ownership

CAD Guardian LLC owns and operates this website and all related services (the "Platform"). This includes all software, source code, visual design systems, user interface, workflows, prompts, internal schemas, automations, proprietary methods, branding elements, and all derivative works created by CAD Guardian LLC (collectively, "Platform IP").

We do not sell or transfer Platform IP. By using this site, you receive a limited, revocable, non-exclusive, non-transferable license to:

• access and view publicly available content,
• listen to music and view stories in the manner intended by the Platform,
• submit business inquiries through official channels,
• subscribe to our newsletter,
• make personal, non-commercial use of the Platform.

No implied license is granted beyond what is expressly stated above.

2. Prohibited Uses

You may not:

• scrape, crawl, or automatically download content from the Platform without permission,
• reverse engineer, decompile, or disassemble the Platform or any proprietary functionality,
• use the Platform to train AI models, language models, or competing systems without express written consent,
• copy, reproduce, or redistribute Platform IP, including proprietary prompts, workflows, or design systems,
• resell, lease, or sublicense the Platform or any content accessed through it,
• remove, alter, or obscure any ownership notices, copyright notices, or proprietary markings,
• use the Platform for spam, harassment, or any unlawful purpose,
• attempt to gain unauthorized access to the Platform or user accounts,
• interfere with or disrupt the operation or availability of the Platform,
• submit false, misleading, or abusive inquiries or feedback.

3. User-Generated Content and Submissions

When you submit business inquiries, feedback, suggestions, or other content through the Platform:

• You retain ownership of your personal information, but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and adapt your inquiry/feedback for internal evaluation and service improvement.
• We may use your feedback and improvement suggestions without obligation or attribution, but such use does not transfer any ownership rights to Platform IP.
• We have no obligation to keep your inquiry confidential unless a separate written agreement exists.
• You agree not to submit content that infringes third-party rights, is defamatory, or violates any applicable law.

4. Music and Content Licensing

Access to music and content on the Platform is granted for personal, non-commercial listening and viewing only. Unless a separate written agreement is in place:

• You may not download, distribute, remix, or create derivative works from any audio, video, or written content.
• Licensing, collaboration, or reproduction rights require explicit written agreement through official business channels. Use the Collaborate section to submit formal requests.
• All audio and visual content remains the exclusive property of GVO SMiTH and CAD Guardian LLC.

5. Business Inquiries and Checkout

The Platform provides official channels for booking, licensing, collaboration, and support:

• Inquiry Form (Collaborate): Submit legitimate business proposals with scope, timeline, and budget. Misleading or abusive inquiries may be rejected.
• Support/Payment Links: Payments are processed through third-party checkout providers (Stripe). By proceeding, you agree to their terms and any applicable refund policies shown at checkout.
• All inquiries and purchases are subject to review and may be declined at CAD Guardian LLC's sole discretion.

6. Third-Party Services and Links

The Platform may link to or integrate with third-party services (YouTube, Stripe, Sanity, etc.). We are not responsible for:

• the availability, accuracy, or content of third-party services,
• third-party policies, terms, or privacy practices (you are responsible for reviewing them independently),
• any loss or damage arising from your use of third-party services.

Third-party marks and content belong to their respective owners.

7. Disclaimers

The Platform is provided on an "as-is" basis without warranties or representations of any kind, express or implied, including but not limited to:

• fitness for a particular purpose,
• merchantability,
• non-infringement,
• availability,
• uninterrupted service,
• accuracy or completeness of content.

We make no warranty that the Platform will meet your expectations or be error-free.

8. Limitation of Liability

To the fullest extent permitted by law, CAD Guardian LLC is not liable for:

• any indirect, incidental, special, or consequential damages (including lost profits or data),
• any direct damages exceeding the total amount you paid us (if any),
• errors, omissions, or delays in the Platform,
• your inability to use the Platform or misuse of your personal data,
• third-party actions or content.

9. Indemnity

You agree to indemnify and hold harmless CAD Guardian LLC from any losses, claims, or damages arising from:

• your violation of these Terms,
• your submission of content that infringes third-party rights,
• your misuse of the Platform,
• your breach of any applicable law.

10. Account Termination and Suspension

CAD Guardian LLC may, at its sole discretion, suspend or terminate:

• your access to the Platform,
• admin/operator accounts,
• future business opportunities,

...for any reason, including violations of these Terms, prohibited uses, abusive behavior, or other conduct we deem inappropriate.

11. Changes to These Terms

We may modify these Terms at any time. Changes are effective upon posting. Your continued use of the Platform constitutes acceptance of the updated Terms. We recommend reviewing these Terms periodically.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

You agree to submit to the exclusive jurisdiction and venue of the state courts located in Fulton County, Georgia, and the federal courts located in Atlanta, Georgia, and waive any objection to venue in those courts.
